This is an Agreement (“Agreement”) between Cradlee Software Solutions Private Limited (“CradleeSoft“), having its registered office at [RATAN KHAND,SHARDA NAGAR, Lucknow. UP], and the entity agreeing to the terms herein (“Participant“, “You“, “you” or “Customer“). By using or accessing any part of the service, you agree that you have read, understood, and agree to be bound by all of these terms and conditions. If you do not agree to all of these terms and conditions, you must not use or access the service. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to the terms of this Agreement.
1. Description of Service
CradleeSoft provides salon management software as a web and mobile service (the “Service” or “Services”). These Services are designed to support appointment booking, billing, staff and customer management, inventory tracking, analytics, marketing, and other operations critical to salon and wellness businesses.
The Services are accessible via supported web browsers and mobile applications. It is the Customer’s responsibility to obtain proper internet access and the necessary devices to use the Services.
CradleeSoft does not use customer personal data for its own purposes. All customer data is fully controlled and accessible only by the salon owner.
2. Modification of Terms
CradleeSoft may revise these Terms of Service from time to time. Updated terms will be posted on our website https://www.CradleeSoft.com/terms. Continued use of the Services after such updates shall constitute your acceptance of the revised terms. If any change materially affects your rights, you may terminate the service with written notice.
3. Restrictions on Use
You agree not to:
- Transfer or sublicense the Services to any third party.
- Reverse engineer or attempt to extract source code or data schema from the platform.
- Use the Services to violate laws or regulations.
- Build a competitive product based on CradleeSoft’s functionality or design.
4. Payment, Subscription, and Refunds
- A free trial period may be offered at CradleeSoft
- Paid plans are billed monthly or annually per branch or outlet.
- All payments are non-refundable, including for partial periods.
- The subscription will auto-renew unless cancelled at least 30 days prior to the next billing cycle.
- Failure to pay may result in suspension of service without liability.
5. Data Ownership & Privacy
- CradleeSoft does not own any customer data.
- All customer data is solely owned by the salon, and CradleeSoftonly processes it on their behalf.
- Salon owners have full control over their data and can access, export, or delete it at any time.
- CradleeSoft provides data backup and security via top-tier cloud providers.
- CradleeSoft may store metadata and logs as required for operational and security purposes.

6. Confidentiality
Each party agrees to keep the other’s confidential information safe. Confidential information does not include information that:
- Was publicly known at the time of disclosure;
- Becomes publicly known through no fault of the recipient;
- Is disclosed with the discloser’s written approval.
7. User Accounts and Responsibility
- User accounts are managed by the Customer.
- Salon owners are responsible for actions taken using their account credentials.
- You must ensure your users comply with these terms.
8. Service Availability and Support
- CradleeSoft will aim for 95% uptime.
- In case of outages or interruptions, reasonable efforts will be made to restore services.
- Support is available via our helpdesk, email, or call chat during business hours.
9. Intellectual Property
- All intellectual property related to the CradleeSoft platform remains the sole property of CradleeSoft.
- Customer data remains the property of the salon.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- CradleeSoft shall not be liable for indirect, incidental, or consequential damages.
- CradleeSoft’s total liability will not exceed fees paid by you for the Service in the last 3 months preceding the incident.
11. Termination
- Either party may terminate this Agreement with 30 days written notice.
- Upon termination, Customer data can be exported upon written request.
- After 90 days, CradleeSoft reserves the right to delete customer data permanently.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, with jurisdiction at [Lucknow, UP].
